Doha – Kuwait, October 22, 2026 – Ooredoo Q.P.S.C. (“Ooredoo”, stock symbol: ORDS) and Mobile Telecommunications Company K.S.C.P. (“Group Zain”, stock symbol: ZAIN) today announce the completion of the first closing of their transaction, marking a decisive step toward the launch of their regional joint telecommunications towers platform.
This first closing enables the consolidation of Ooredoo Qatar’s (Al Abraj) and Zain Kuwait’s (ITK) telecommunications towers assets within a unified regional platform, owned equally by the two groups, at 50% each. The assets involved represent a portfolio of approximately 4,000 telecommunications towers.
This transaction is expected to generate significant added value through increased economies of scale, improved capital efficiency, and the adoption of a specialized operating model based on passive telecommunications infrastructure.
As its activities develop, the platform will also promote the provision of Infrastructure as a Service (Infrastructure as a Service), enabling telecommunications operators to access infrastructure while optimizing their capital investments.
It will thereby support the continued development of digital infrastructure across the region’s markets.
Other telecommunications towers portfolios are expected to be progressively integrated into the platform, subject to meeting applicable closing conditions and obtaining regulatory and other necessary approvals.
On this occasion, Mr. Aziz Aluthman Fakhroo, Chief Executive Officer of the Ooredoo Group, said:
“The completion of this first closing constitutes a major milestone in the establishment of a regional telecommunications towers platform, designed to generate meaningful added value and endowed with clearly defined expansion prospects through the future integration of assets from other markets.”
“This achievement enables us to continue implementing our ambitions across the various segments of digital infrastructure identified in our strategy, while strengthening our positioning through the creation of a leading regional portfolio.”
We also wish to express our sincere gratitude to the Communications Regulatory Authority and the Ministry of Municipality of the State of Qatar for their support and contribution to creating a favorable regulatory environment throughout the approval process.”
For his part, Mr. Bader Nasser Al-Kharafi, Vice Chairman of the Board and Chief Executive Officer of Group Zain, said:
“The completion of this first closing of the transaction related to our telecommunications towers platform represents a decisive step forward in the evolution of the digital infrastructure of our two groups.”
“It reflects our joint strategy to develop specialized, durable and scalable platforms capable of maximizing the value of our assets while contributing to the region’s carbon footprint reduction efforts.”
“We are confident that this platform will play an increasingly important role in strengthening the digital foundations of our two groups, while fostering the emergence of the next generation of connectivity services, innovation and economic growth for the benefit of the communities we are proud to serve.”
We also extend our sincere thanks to the regulatory authorities of the State of Kuwait for their support and enlightened vision throughout the various approval stages of this transaction.”
It should be noted that Ooredoo and Zain will each retain ownership and control of their respective active infrastructures, including the technical equipment, software as well as the intellectual property rights necessary for the operation and management of their telecommunications networks.
